Terms of Service

Introduction

Welcome to textvid.ai ("Textvid," "we," "our," or "us"). Jester Software LLC, doing business as Textvid ("Textvid") operates this AI-powered video generation platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you create an account, you acknowledge that you have read, understood, and accepted these Terms.

Definitions

  • "Content" means any text, images, or other input provided by you for the purpose of generating videos.
  • "Generated Videos" means the videos produced by our AI technology based on your Content.
  • "User" or "you" means any individual or entity using the Service.

Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and update it as necessary. You are responsible for safeguarding your account credentials and for all activities occurring under your account. By registering an account, you acknowledge that you have read, understood, and accepted these Terms.

Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or internal business purposes. You agree not to:

  • Use the Service to generate Content that is illegal, harmful, or violates any applicable laws, third-party rights, or the Terms of Service of platforms such as YouTube, Facebook, or TikTok.
  • Submit Content that includes explicit sexual, violent, or NSFW material contravening the policies of these third-party platforms.
  • Attempt unauthorized access to any portion of the Service or use automated scripts, bots, or similar tools.
  • Interfere with or disrupt the Service or its supporting infrastructure.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.

Content and Generated Videos

User Content:

  • You retain ownership of all Content you submit. By submitting Content, you grant Textvid a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display the Content solely for the purpose of providing and improving the Service.

Generated Videos:

  • You own the rights to Generated Videos, subject to our underlying intellectual property rights in our technology and algorithms.

Prohibited Content:

  • Do not submit or generate Content that infringes on intellectual property rights, contains misleading or deceptive information, or violates applicable laws.
  • Content containing explicit, violent, or objectionable material that violates the policies of third-party platforms (such as YouTube, Facebook, or TikTok) is prohibited.
  • Textvid reserves the right to remove or disable access to any Content or Generated Videos that violate these Terms.

Textvid is not responsible for user-submitted Content; you acknowledge that you are solely responsible for the Content you provide.

Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and related materials, is owned by Textvid or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws. No rights are granted to you except as expressly provided in these Terms.

Subscription and Payment

Certain features of the Service require a paid subscription.

  • Auto-Renewal: Subscriptions enroll in an auto-renewal process. You may cancel auto-renewal at any time through your account settings.
  • Refund Policy:
    • No refund will be issued after a request for video generation is made, except if the Service fails to generate any Content due to a system failure.
    • If you submit a video generation request and Textvid's servers fail to generate any Generated Videos (i.e., no Content is produced), you may apply for a refund, which will be granted upon verification of the non-generation of Content.
    • For cases where you do not use the Service, refund eligibility will be evaluated based on the extent of usage.

Service Modifications and Discontinuation

Textvid reserves the right to modify, suspend, or discontinue any aspect of the Service, including its features and functionality, at any time without prior notice. In cases where a critical feature is affected, we will endeavor to notify you in advance. Continued use of the Service after modifications constitutes your acceptance of the revised features and these Terms.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TEXTVID DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE, NOR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTVID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING FROM:

  • YOUR ACCESS TO OR USE OF THE SERVICE;
  • FAILURE OF THE SERVICE TO GENERATE Content due to system failures (with the refund remedy provided above for cases where no Content is generated);
  • ANY ACTION OR INACTION OF THIRD PARTIES, INCLUDING CONSEQUENCES ARISING FROM USER-SUBMITTED CONTENT;
  • ANY INACCURACIES OR OMISSIONS IN THE INFORMATION PROVIDED BY THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless Textvid, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Content, Generated Videos, or any violation of these Terms.

Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in Washington State, USA. You agree to waive any right to participate in a class action or pursue class-wide arbitration.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Washington, and you consent to the jurisdiction of such courts.

Modifications to These Terms

Textvid reserves the right to modify or update these Terms at any time. In the event of material changes that may significantly affect your rights or obligations, Textvid will attempt to notify you via email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Termination

Textvid may suspend or terminate your access to the Service immediately and without notice if you breach these Terms. Upon termination, your right to use the Service ceases, but provisions that by their nature survive termination—including warranty disclaimers, limitations of liability, and indemnification—will remain in effect.

Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Textvid regarding your use of the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is held invalid or unenforceable, it shall be removed, and the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of Textvid to enforce any provision of these Terms shall not constitute a waiver of that provision or any other.
  • Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent, while Textvid may assign these Terms without notice.
  • Non-Waivable Statutory Rights: Nothing in these Terms shall be construed as a waiver or limitation of any non-waivable rights you have under applicable law.
